Who needs it

The founders/shareholders, the administrator or the proxy filing the application (lawyer, consultant with a power of attorney). Each signs with their own certificate; the articles of association can be signed electronically by all shareholders.

What exactly is signed

The registration application, the articles of association and amendments, shareholder resolutions, sworn statements, the signature specimen and any document that would bear a handwritten signature on paper.

Legal basis

  • Law 265/2022 on the trade register, art. 82(1)-(2) and art. 83
  • eIDAS Regulation 910/2014, Art. 25(2) (qualified signature = handwritten signature)
  • ONRC online services portal

Steps with Simplifi

  1. 01

    Get the qualified certificate (free)

Create an account at app.simplifi.ro, complete video identification and enable 2FA. The qualified certificate is issued on the spot, no token, no subscription. If you sign for a company, the certificate is yours as a natural person (legal representative or proxy); that is what the portals require.

  2. 02

    Prepare the documents as PDF

The portals accept PDF only. Convert Word/Excel documents before signing and check the portal's size limit.

  3. 03

    Sign in the browser

In app.simplifi.ro, upload the PDF (or several at once), choose the signature position and confirm with your 2FA code. The signature is qualified (QES, PAdES format) and includes a timestamp.

  4. 04

Download and upload to the portal

Download the signed PDF and upload it at the required step. Do not edit, print or rescan it: the signature validates on the file exactly as downloaded.

Common errors

"Signature not valid" or "unsigned document" after upload
You uploaded a modified version (re-saved, printed and scanned, or compressed). Start again from the signed PDF downloaded from Simplifi, with no further processing.
The portal wants the legal representative's signature but the certificate is in another name
A qualified certificate is personal. The person the portal requires (legal representative or proxy with a power of attorney) opens their own Simplifi account and signs.
ONRC rejected the application because a document was signed by only one shareholder
Each shareholder signs the same PDF electronically, in turn (Simplifi supports successive signatures on one document). Do not sign separate copies.

Frequently asked questions

Does ONRC accept a cloud electronic signature?
Yes. The law requires a qualified signature, not a specific device. The Simplifi signature is qualified and issued by a provider on Romania's Trusted List (QTSP).
Can I incorporate an SRL fully online with the Simplifi signature?
Yes, the application and documents are filed on portal.onrc.ro signed electronically. Notarisation or attestation is needed only for documents where the law expressly requires it.
How much does the signature for ONRC cost?
Nothing, on the Simplifi free plan: a free qualified certificate and 5 qualified signatures per year, enough for an incorporation or an amendment.
